ImageneBio issued RSUs and stock options to three new non-executive employees as employment inducements under Nasdaq Listing Rule 5635(c)(4).
ImageneBio, Inc. (Nasdaq: IMA) disclosed Thursday that its Board's Compensation Committee approved equity inducement grants to three newly hired non-executive employees, effective September 30, 2026, under Nasdaq Listing Rule 5635(c)(4), which permits companies to issue equity as a material inducement to attract new talent without a shareholder vote.

ImageneBio did not disclose the identities of the three employees, their roles, or the vesting schedules attached to the awards. The company has not issued additional commentary beyond the formal announcement.
